Price Basis: Prices are quoted in Indian Rupees, Ex Our Warehouse. GST extra as applicable.
Validity: 30 days from the quotation date.
Payment Terms: 30% Advance against purchase order (Non-Refundable),
70% Against proforma invoice before dispatch

Delivery: Within 2-3 months from the date of technically & commercially clear Purchase order.

Warranty: 12 months from the date of installation/13 months from the date of Invoice, whichever is earlier.
Warranty is only against manufacturing defects.The packing should only be opened in front of Mitutoyo
Engineer. We shall not be liable to any claim, damage or shortage in the case where the original
packing has been opened by the customer.

Installation/ Commissioning: Separate Invoice shall be raised for Installation / Commissioning. Charges mentioned in installation
and commissioning section are to be paid immediately after the machine is installed and
commissioned. GST will be charged extra.
Commissioning includes installation, calibration and basic training. Customer has to ensure that site
is ready in all respects prior to installation. The machine will be installed and commissioned as per
Mitutoyo norms.
Customer has to provide general labour during unpacking & installation as required by Mitutoyo
engineer. Cost of unloading the material, internal transportation as well as material handling
equipment is not included & the same has to be borne by end-user.
Installation of computer, compressor, air-dryer, filters, UPS or any other peripherals those may be
required to commission Mitutoyo equipment, is also not included in the cost & same shall be arranged
by customer unless purchased from Mitutoyo South Asia Pvt. Ltd.
Training will be imparted for 3 days to maximum 3 persons (Single Group). The customer should
ensure that the proposed trainees are computer literate, conversant with engineering drawings,
tolerancing standards, and familiar with metrology and inspection practices and procedures.
Part Programming is not a part of training & will be provided on chargeable basis. Please contact
Mitutoyo South Asia Pvt. Ltd. for further assistance.
Acceptance Criteria: The machine will be installed/commissioned and calibrated as per Mitutoyo norms. No other
acceptance criteria is applicable.

and Japan, are in compliance in totality, and all necessary official approvals are granted as may be
required.
In case we were to become aware that this offer or the intended contract resulting from the offer would
violate any export control rules of respective countries including India and Japan, we explicitly reserve
the right to revoke this proposal, without any obligations on us, Mitutoyo South Asia Pvt. Ltd.
User Manual: One set of User’s Manual is supplied with the machine.
General: This proposal by Mitutoyo South Asia Pvt. Ltd. contains proprietary commercial, financial and
technical information and is being furnished to you only for the purpose of evaluating this proposal.
Further use by you or disclosure to, or use by other of the information in this proposal, except as
required by law is strictly prohibited without prior consent of Mitutoyo South Asia Pvt. Ltd.
Arbitration: Any dispute arising out of the contract shall be mutually discussed and resolved. In case parties do not
reach an agreement the matter will be referred to sole arbitrator appointed by Mitutoyo South Asia Pvt.
Ltd.
Jurisdiction: Disputes (if any) subject to Delhi jurisdiction.
